Welcome to Omnifuse. By accessing our services, you agree to comply with and be bound by the following terms and conditions, which govern our relationship with you. These terms outline our professional commitments, your responsibilities, and important legal aspects of our collaboration.
1. Omnifuse’s Role
1.1 Services Provided
Omnifuse will provide the services as outlined in the agreed Scope of Work, Proposal, or Service Agreement. If the nature or volume of work changes during the engagement, we will notify you as early as possible to discuss any required adjustments to scope, pricing, or delivery timeline.
1.2 Client Cooperation
In order for Omnifuse to deliver high-quality results, we require your full cooperation. This includes timely provision of accurate information, feedback, access to necessary resources, and coordination with any third-party vendors or teams you engage. We rely on the accuracy and completeness of the data you supply.
1.3 Third-Party Costs
Expenses such as third-party print jobs, shipping, software licenses, and paid tools used specifically for your project will be billed separately, if applicable. These charges will be clearly communicated and approved in advance.
1.4 Force Majeure
Omnifuse shall not be held responsible for any delay or failure in service delivery arising from causes beyond our reasonable control, including but not limited to natural disasters, strikes, supply chain issues, pandemics, or internet outages.
2. Payment Terms
2.1 Invoicing & Payments
All invoices must be paid via bank transfer or credit card within the payment term stated on the invoice (typically Net 7 or Net 14 unless otherwise agreed). Omnifuse retains full ownership of all deliverables, including digital files and intellectual property, until payment is made in full.
2.2 Add-On Services
Optional or specialized services—such as custom development, motion graphics, paid advertisements, or photography—will be quoted separately and are subject to their own approval and billing terms.
3. Content Responsibilities
3.1 Content Provision
You are responsible for providing accurate and complete content required for your project. This includes, but is not limited to, text, images, videos, branding assets, and legal disclaimers. If content is not provided in a timely manner, project delivery dates may be impacted. Additional revisions due to late or incorrect content submissions may incur additional fees.
3.2 Digital Format Requirement
All content should be provided in commonly used digital formats unless a different arrangement is agreed in writing.
4. Confidentiality
4.1 Confidential Handling of Data
Omnifuse values your privacy. We will not disclose any confidential documents, communications, or information shared with us unless:
Disclosure is legally required;
You give written permission;
The information is already publicly available;
Disclosure is required to trusted third parties involved in your project or within Omnifuse’s affiliate or subcontractor network to fulfill our services.
We sign NDAs upon request and treat your sensitive business information with the highest care.
5. Limitation of Liability
5.1 Limits
Omnifuse’s liability—whether in contract, negligence, or otherwise—is limited to the total amount paid by you under the project agreement. We are not liable for any indirect or consequential damages, such as loss of business, revenue, profits, data, or goodwill.
6. Changes to Terms
6.1 Agreement Modifications
These terms may be updated or revised at any time by mutual written consent. Any changes will not affect already completed obligations unless explicitly agreed otherwise.
